This Mobile Application Terms of Service (the “Agreement”) is made and entered into between Waves Compass, Inc. (“Waves Compass”) and you (hereinafter “User”, “you” and “your”) and applies to User’s access to and use of Waves Compass’s mobile application (the “App”) and governs your use of materials and information provided by Waves Compass, including but not limited to, an App tutorial and other in-App content (the “App Content”).
In this Agreement, “you” refers to a user of the App, who is an Adult. An “Adult” is a person of legal age who can enter into a contract in the state in which the user resides; by purchasing a subscription to, registering for, downloading, or otherwise using the App, you represent and warrant that you are an Adult and will be responsible for ensuring that any child authorized by you to use and access the App does so in accordance with this Agreement.
By creating an account and/or by accessing and/or using the App, you acknowledge and agree that you have read, understand, and agree to be bound by all of the terms and conditions of this Agreement, and Waves Compass’s Privacy Policy, which are presented to you when you first create a User Account through the App. If you do not agree with this Agreement, you must not use the App. The terms and conditions of this Agreement will exclusively govern your access to, and use of, the App and App Content and expressly supersede prior agreements and/or arrangements between you and Waves Compass.

Privacy Policy

User acknowledges and agrees it will abide by Waves Compass’s Privacy Policy, as may be changed from time to time by Waves Compass in its sole and absolute discretion, and which such then-current version shall be incorporated herein by reference (“Privacy Policy”).
By using the App, you consent to any personal information Waves Compass may obtain about you being collected, stored, and/or otherwise processed in accordance with the Privacy Policy and this Agreement.

Arbitration Notice

Except for certain types of disputes described hereunder, you agree that disputes between you and Waves Compass will be resolved by mandatory binding arbitration, and you hereby waive all rights to participate in a class-action lawsuit and/or class-wide arbitration.

4. Changes to Terms

Subject to the terms and conditions set forth herein, Waves Compass may, at any time and for any reason, in its sole and absolute discretion, make changes to the App and/or modify this Agreement. If Waves Compass makes material changes to this Agreement, Waves Compass will inform User by posting a notice on the App and changing the “Last Updated” date above.
Waves Compass may also provide User with additional forms of notice of modifications and/or updates as appropriate under the circumstances. Any changes and/or modifications will be effective immediately upon posting the revisions to the App, and User waives any right it may have to receive specific notice of such changes and/or modifications.
User’s continued use of the App will confirm User’s acceptance of such changes and/or modifications; therefore, User should frequently review this Agreement to understand the terms and conditions that apply to User’s use of the App and/or App Content. If User does not agree to the amended terms, User must stop using the App and/or App Content.

5. Description of Services

Application.
 Waves Compass is a social travel app where users can plan, discover, and share immersive itineraries—powered by the community.
Eligibility.
 To use the App, you must have the requisite power and authority to enter into this Agreement and meet any other applicable age and residency requirements. The App is not intended for and should not be used by anyone under the age of thirteen (13), and only with consent from a parent or legal guardian of a minor.
Use of Affiliate Links.
 Waves Compass takes pride in offering a free platform to the community, but maintaining a mobile app is not free. Waves Compass earns a small commission from its travel partners for each successful booking made, following your decision to visit a partner website from the App. We encourage you to always start your travel booking journey on Waves Compass, as this helps us keep our app free for everyone.
Use & Availability of the App.
 Use of the App is at your own risk, including without limitation the risk that you might be exposed to content that is offensive, indecent, inaccurate, or objectionable. Waves Compass retains the right, in its sole discretion, to deny service and/or access to and/or use of the App to anyone at any time for any reason without liability. While Waves Compass uses reasonable efforts to keep the App accessible, the App may be unavailable from time to time.
User understands and agrees that there may be interruptions to the App and/or access to User’s account due to circumstances both within Waves Compass’s control (e.g., routine maintenance) and outside of Waves Compass’s control. The App may be modified, updated, suspended, and/or discontinued at any time without notice and/or liability.

6. Creating an Account

User is required to establish an account through the App and must register and create an account by selecting a login identification (“Username”) and unique user password (“Password”) (collectively, a “User Account”).
When setting up a User Account, you are required to:

1. abide by all applicable laws, rules, and regulations, as well as indicate agreement to these Terms of Service,
   
   
2. provide contact information, and
   
   
3. submit any other form of authentication required during the enrollment process, as determined by Waves Compass in its sole and absolute discretion.
   
   

If you establish a User Account with Waves Compass, you agree to provide true, accurate, and current information in connection with your User Account. You are responsible for updating and correcting information you have submitted to create and/or maintain your User Account.
You are solely responsible for managing your User Account and are prohibited from creating more than one User Account and/or using other disguised identities when using the App. Waves Compass may refuse to grant you a User Account with a name that impersonates someone else, if it may be illegal, vulgar, offensive, and/or if it may be protected by trademark and/or other proprietary rights, as determined by Waves Compass in its sole and absolute discretion.
Any Username and Password used for the App are for individual use only. You are solely responsible for maintaining the security and confidentiality of the password you use to access your User Account. You understand and agree that Waves Compass shall have no responsibility for any incident arising out of, or related to, your account settings. Waves Compass will assume that anyone using the App and/or transacting through your User Account is you.
Therefore, you further agree to immediately notify Waves Compass of any unauthorized use of your Username, Password and/or User Account and/or any other breach of security.
Your User Account is non-transferable and may not be sold, combined and/or otherwise shared with any other person. If you violate any of these limitations and/or this Agreement, Waves Compass may terminate your User Account immediately.
Upon termination, the provisions of this Agreement that are by their nature intended to survive termination (including without limitation any disclaimers, limitations of liability, and indemnities) shall survive such termination.
If Waves Compass terminates your User Account, you may not subscribe under a new account unless Waves Compass formally invites you.
If you commit fraud and/or falsify information in connection with your access and/or use of the App, or in connection with your User Account, your account will be terminated immediately and Waves Compass reserves the right to:

• (i) hold you liable for any and all damages that Waves Compass suffers,
  
  
• (ii) pursue legal action through relevant local and national law enforcement authorities, and/or
  
  
• (iii) notify your Internet Service Provider of any fraudulent activity Waves Compass associates with you and/or your access to and/or your use of the App.
  
  

7. Maintenance & Modification

Waves Compass will make available to the User updates, patches, and bug fixes with respect to the App as may, from time to time, be developed and made generally available by Waves Compass to its Users.
Waves Compass reserves the right to modify and/or discontinue, temporarily and/or permanently, the App and/or any features or portions thereof without prior notice and/or liability. You agree that Waves Compass will not be liable for any modification, suspension, and/or discontinuance of the App or any part thereof.

8. Communications from Waves Compass

By using the App, you agree to receive certain communications in connection with the App. When you access and/or use the App, you are communicating with Waves Compass electronically, and you consent to receive communications from Waves Compass electronically including but not limited to notices related to the App provided to you via email or through the App.
You agree that all agreements, notices, disclosures, and/or other communications that Waves Compass provides to you electronically satisfy any legal requirement that such communications be in writing.
Your consent to receive records and notices electronically will remain in effect until you withdraw it. You may withdraw your consent to receive further records and notices electronically at any time by contacting Waves Compass. If you withdraw your consent to receive such records and notices electronically, we will revoke your access to the App.
Any withdrawal of your consent to receive records and notices electronically will be effective only after Waves Compass has a reasonable period of time to process your request for withdrawal.

9. Confidentiality

During your access to and/or use of the App, you may have access to certain information of Waves Compass that is not generally known to others, including without limitation business, legal, and operational practices, financial, technical, design, performance characteristics, commercial strategies, partnerships, code, algorithms, techniques, formulas, processes, know-how, systems, inventions, feedback, and other proprietary data (“Confidential Information”).
In addition, the structure, sequence, organization, and code of the App constitute valuable trade secrets of Waves Compass. You will use commercially reasonable efforts to protect and prevent any access to the Confidential Information, using no less than a reasonable degree of care to protect such information.

10. User Responsibilities

Waves Compass grants you the rights set forth herein, subject to the following conditions:

• You shall not modify, disassemble, create derivative works, publicly display, reverse engineer, or otherwise reduce to human-perceivable form all or any part of the App and/or App Content.
  
  
• You agree not to submit or transmit any materials through the App that contain viruses, worms, Trojan horses, or any other harmful code designed to interrupt, destroy, or limit functionality.
  
  
• You may not access all or any part of the App in order to build a product or service that competes with the App.
  
  
• You shall not copy, store, reproduce, duplicate, transmit, or distribute a significant portion of the content on the App.
  
  
• You shall not misrepresent your identity, impersonate others, or provide false information.
  
  
• You are only authorized to view, use, and download small portions of the App Content for informational, non-commercial use, provided that copyright notices remain intact.
  
  
• You are responsible for the accuracy and quality of the data and content that you submit.
  
  
• You agree not to submit User Content that is harmful, offensive, libelous, defamatory, discriminatory, harassing, hateful, threatening, obscene, infringing, unlawful, or otherwise objectionable.
  
  
• You will use commercially reasonable efforts to prevent unauthorized access to or use of the App and notify Waves Compass promptly of any unauthorized access.
  
  
• You shall not use the App for unlawful purposes or to violate applicable laws.
  
  

You acknowledge that breaches of this section may cause irreparable harm to Waves Compass for which monetary damages may be insufficient. In such cases, Waves Compass will be entitled to seek injunctive relief in addition to other remedies.

11. Use Outside Defined Area

The App is directed to individuals and entities located in the United States and is subject to U.S. law. It is not directed to any person or entity in a jurisdiction where availability of the App or its content would be contrary to local law.
Those who access the App from other locations do so at their own risk and are responsible for compliance with applicable local laws.
If you are using the App outside of the United States, you agree that:

1. you consent to having your personal data transferred to and processed in the United States;
   
   
2. you will not use the App if you are located in a country embargoed by the United States or listed on the U.S. Treasury Department’s list of Specially Designated Nationals; and
   
   
3. you will not use the App if prohibited from receiving products or services originating from the United States.
   
   

This Agreement is written in English. In the event of a conflict between translations, the English version controls.

12. Errors, Inaccuracies, Omissions & Performance

Occasionally, there may be information on the App or App Content that contains typographical errors, inaccuracies, or omissions relating to services, information, or data. Waves Compass reserves the right to correct such errors, inaccuracies, or omissions, and to change or update information without obligation to issue notice, except where prohibited by law.
You agree that Waves Compass shall not be liable for inaccuracies or performance issues caused by third-party data or related services.

13. Proprietary Rights & Licenses

Ownership.
 The App, App Content, and infrastructure used to provide the App are proprietary to Waves Compass and/or its licensors. By using the App, Waves Compass grants you a limited, non-transferable, non-exclusive, revocable license to access and use the App pursuant to this Agreement.
Reservation of Rights.
 All rights, title, and interest in and to the App and its content remain with Waves Compass and its third-party providers. Except as expressly granted herein, no rights are conveyed to you.
User Content.
 You assume all risks associated with the User Content you submit. You represent that you own or have necessary permissions to use and authorize its use. You grant Waves Compass a worldwide, perpetual, non-exclusive, royalty-free, irrevocable, sublicensable, and transferable license to use your User Content for purposes of providing the App.
Waves Compass may collect aggregated, anonymized data derived from use of the App to improve services and for analytics.
Other.
 Waves Compass may remove or screen User Content at its discretion. It has no obligation to retain or provide copies of User Content.
Submissions.
 Do not send unsolicited ideas to Waves Compass. If you do, they will automatically become the property of Waves Compass without compensation.

14. Spamming

Gathering email addresses from Waves Compass through harvesting or automated means is prohibited. Posting or transmitting unauthorized or unsolicited advertising, promotional materials, or any other forms of solicitation to other users is strictly prohibited.
Waves Compass also prohibits crawling, scraping, caching, or otherwise accessing any content on the App via automated means (except where permitted under standard search engine protocols with Waves Compass’s express written consent).

15. No Unlawful or Prohibited Use

As a condition of your use of the App, you warrant to Waves Compass that you will not use the App or App Content for any purpose that is unlawful or prohibited by these Terms.
You may not use the App in any manner that could:

• damage, disable, overburden, or impair the App, or
  
  
• interfere with any other party’s use of the App.
  
  

You may not attempt to obtain any materials or information through any means not intentionally made available through the App.

16. User Verification

Waves Compass may, in its sole discretion, verify a user’s identity prior to allowing access to or use of the App. Waves Compass may, without liability, refuse to process or may cancel access if deemed necessary to comply with applicable law or in response to fraud, misrepresentation, or violations of this Agreement.
Waves Compass does not independently verify the information or qualifications of other users of the App and does not control exchanges between users. Any opinions, reviews, or statements expressed by users are solely those of the users and not attributable to Waves Compass.
Waves Compass cannot and does not assume responsibility for the accuracy, completeness, safety, reliability, legality, or timeliness of anything posted or shared by users.

17. Termination

This Agreement will remain in effect until terminated by either party.
The rights granted by Waves Compass to use the App are conditioned upon:

1. your acceptance of this Agreement,
   
   
2. your agreement not to share access with others, and
   
   
3. your compliance with all terms herein.
   
   

Upon termination, you must immediately discontinue use of the App.
Waves Compass may suspend or terminate your User Account if you violate this Agreement or misuse the App. Waves Compass may also terminate access at its sole discretion without notice or liability.
If you share access with others, or misuse the App in violation of applicable laws, Waves Compass may consider your access fraudulent and terminate it immediately. In such cases, Waves Compass reserves the right to pursue civil or criminal remedies, with all costs borne solely by you.
Upon termination, your User Content may not be retrievable, and Waves Compass has no obligation to maintain it.

18. Indemnification & Waiver

You agree to indemnify, defend, and hold harmless Waves Compass, its officers, employees, contractors, and representatives from and against any and all claims, losses, damages, costs, or liabilities (“Claims”) arising out of or related to:

• your violation of any law or rights of a third party,
  
  
• your breach of this Agreement or Privacy Policy,
  
  
• your use of the App,
  
  
• use of User Content that infringes third-party rights, or
  
  
• your fraud, misconduct, or negligence.
  
  

You shall promptly notify Waves Compass of any Claim against you that may also implicate Waves Compass.
You acknowledge that by using the App, you may be exposed to materials from others that you consider offensive or objectionable, and you accept that risk.

19. Disclaimer of Warranties

YOU EXPRESSLY UNDERSTAND AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
The App and any content are provided by Waves Compass on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, statutory, or implied, including but not limited to implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose.
Waves Compass does not warrant that:

• the App will meet your requirements or be uninterrupted, timely, secure, or error-free;
  
  
• results obtained from use of the App will be accurate or reliable;
  
  
• defects will be corrected; or
  
  
• the App is free of viruses or harmful components.
  
  

No advice or information obtained from Waves Compass creates any warranty not expressly stated herein.

20. Limitation of Liability

Your use of the App is at your own risk. In no event shall Waves Compass, its officers, directors, employees, partners, licensors, or suppliers be liable for any indirect, incidental, consequential, or punitive damages, including loss of data, profits, or business, even if advised of the possibility of such damages.
In any case, Waves Compass’s aggregate liability arising out of this Agreement shall not exceed one hundred dollars (USD $100).

21. Third-Party Services

The App may integrate with third-party services or be accessed through third-party platforms (e.g., App Stores). You agree to comply with all applicable terms of those third-party providers.
Waves Compass does not endorse or control third-party services and shall not be liable for any products, services, or content provided by them. Any dealings with third parties are solely between you and the third party.

22. DMCA Copyright Policy & Copyright Agent

Waves Compass respects the intellectual property rights of others and expects you to do the same.
Waves Compass may:

• terminate accounts of repeat infringers,
  
  
• block or remove content believed to infringe copyrights, and
  
  
• respond to valid DMCA takedown notices.
  
  

A proper DMCA notice must include:

1. A physical or electronic signature of the copyright owner or authorized agent,
   
   
2. Identification of the copyrighted work,
   
   
3. Identification of the allegedly infringing material,
   
   
4. Contact information of the complaining party,
   
   
5. A good faith statement that the use is unauthorized, and
   
   
6. A statement under penalty of perjury that the complaint is accurate.

23. Dispute Resolution

Disputes.
 You agree to first attempt to resolve disputes informally by contacting Waves Compass Support.
Arbitration.
 If unresolved, disputes will be settled by binding arbitration under the rules of the American Arbitration Association, in Cook County, Illinois, unless you opt out within 30 days of first agreeing to this clause.
Exceptions.
 Claims related to intellectual property, emergency injunctive relief, or small claims court are exempt.
Judicial Forum.
 If arbitration does not apply, disputes shall be brought exclusively in state or federal courts in Cook County, Illinois.

24. Miscellaneous

• Governing Law: This Agreement is governed by Illinois law, without reference to conflict of laws.
  
  
• Severability: If any provision is invalid, the remainder shall remain enforceable.
  
  
• Assignment: You may not assign this Agreement without Waves Compass’s consent; Waves Compass may assign freely.
  
  
• Survival: Provisions relating to ownership, indemnity, disclaimers, and limitations of liability survive termination.
  
  
• Entire Agreement: This Agreement and the Privacy Policy constitute the entire agreement between you and Waves Compass.
